Terms of Service
Questions about this document: legal@northquest.io
The agreement between your business and NorthQuest for using the NorthQuest app.
1. Who these terms are with
These Terms of Service ("Terms") are an agreement between NorthQuest LLC, a Wyoming limited liability company ("NorthQuest", "we"), and the business or organization that creates or uses a NorthQuest account ("Customer", "you"). By creating an account or using the Service you accept these Terms. The person accepting them confirms they are authorized to bind that business.
These Terms cover the NorthQuest web app at app.northquest.io and its related services (the "Service"). The Acceptable Use Policy, the Data Processing Agreement and the Privacy Policy form part of these Terms. Managed outreach services ("Done for you") that NorthQuest performs for a client under a separate written agreement are governed by that agreement.
Our website northquest.io, including its chat, is also covered by these Terms and the Privacy Policy. The website chat is run by AI, and a NorthQuest team member may join it. Answers in the chat are general information, not an offer, a contract or a promise of results. A Done for you engagement starts only when both sides sign the written agreement.
NorthQuest is for business use only. You must be at least 18 years old and use the Service for your business, not as a consumer.
See: Acceptable Use Policy · Data Processing Agreement · Privacy Policy
2. Accounts and workspaces
You need a confirmed email address to use the Service. Keep your password, authenticator and backup codes safe; you are responsible for all activity in your account and workspaces. Two-factor authentication with backup codes is available and strongly recommended. Tell us promptly at legal@northquest.io if you believe your account has been compromised.
Work happens in workspaces. The workspace owner and admins decide who joins and what they can do. A person may own up to 10 workspaces. You are responsible for the people you invite, and each of them must follow these Terms and the Acceptable Use Policy.
Recovering an account whose authenticator and backup codes are lost requires confirmation by email and a 72-hour wait, and workspace admins are notified.
3. Plans, free trial and payment
Plans: Solo is for one person, at USD 50 per month or USD 40 per month billed yearly (USD 480 per year). Pro is per workspace with the team included and no per-seat fees, at USD 100 per month or USD 80 per month billed yearly (USD 960 per year). Agency pricing is agreed individually. Prices exclude taxes, which are added where required.
Free trial: 14 days without a card, up to 50 emails per day per workspace, given once per company email domain (or once per address for free email providers) after you confirm your email. Creating more workspaces does not start a new trial. Paying for a plan ends the trial at once.
Subscriptions renew automatically at the end of each period until cancelled, and you authorize us to charge the payment method on file for each renewal. Payments are processed by Stripe; NorthQuest never sees or stores your full card number. Promotion codes are personal and may not be resold or published.
If a payment fails, Stripe retries it for 7 days. If it still hasn't succeeded after 7 days, sending pauses. Your data is kept, and sending resumes once payment succeeds.
We will give at least 30 days' notice of price changes for existing subscriptions; the new price applies from your next renewal. If you don't agree, you can cancel before then.
4. Cancellation and refunds
You can change plan or cancel at any time in Settings › Billing & credits. Cancellation takes effect at the end of the paid period; until then the Service keeps working.
Monthly plans are not refundable. Yearly plans can be refunded in full within 14 days of purchase: email hello@northquest.io. Where the law that applies to you gives you more rights, those rights apply.
5. Credits
Some features (for example data enrichment or AI-written emails) may use prepaid credits. One credit buys one result. The cost is shown before each paid action, credits are never billed afterwards, and purchased credits are valid for 12 months. When credits run out, paid actions stop; sending, inbox and campaigns never use credits.
If none of the credits in a purchase have been used, that purchase is refunded in full when you ask within 14 days of purchase: email hello@northquest.io. After 14 days, or once any credit from the purchase has been used, credits are not refundable. Where the law that applies to you gives you more rights, those rights apply.
6. You are the sender: anti-spam law
You decide whom you contact and what you send; you are the sender of every email sent from your mailboxes, including for the U.S. CAN-SPAM Act. You are responsible for following the Acceptable Use Policy and every law that applies to your outreach, including the CAN-SPAM Act and, where they apply, the GDPR, the UK GDPR, the ePrivacy rules of EU and UK law, and Canada's Anti-Spam Legislation (CASL). You are also responsible for anyone who sends on your behalf.
In particular, for every commercial email you send you must:
- Use accurate header and routing information: the From name, From address, Reply-To and sending domain must truthfully identify you or your business.
- Use subject lines that are not deceptive about the content of the email.
- Identify your business and include your valid physical postal address.
- Give a clear way to opt out, keep it working for at least 30 days after sending, honor every opt-out within 10 business days (sooner where other laws require), and never sell or transfer the address of someone who opted out.
- Not remove, hide or disable the unsubscribe link NorthQuest adds to campaign emails. Opt-outs you receive another way (for example by reply or phone) must be added to your blocklist.
7. Your lead data and lawful basis
You promise that, for all personal data you put into or sync to the Service (including lead lists you import): you collected or obtained it lawfully; you have, and can show, a lawful basis to use it and to send each recipient the emails you send through NorthQuest (for example legitimate interests with a documented assessment under the GDPR or UK GDPR, or consent where required, and express or implied consent plus the required identification and unsubscribe details for recipients in Canada under CASL); you have given the notices that the law requires; and your use does not break any list provider's terms or anyone else's rights.
You will not upload bought, rented or scraped lists unless the seller or source gives you a lawful basis to email those people for your purpose. You will not put sensitive data (such as health, financial account or government ID data) or data about children into the Service.
You are responsible for answering requests from the people in your data (for example access, deletion or opt-out requests). The app lets you find, export, delete and block leads to help you do that.
8. Your data
You keep all rights in the data you put into or sync to the Service, including leads, campaigns, emails and files ("Customer Data"). You give NorthQuest permission to host, copy, process and transmit Customer Data only to provide, secure and support the Service and as you instruct. For personal data in Customer Data you are the controller and NorthQuest is your processor (and, under U.S. state privacy laws, your service provider), as set out in the Data Processing Agreement. NorthQuest stores and processes Customer Data in the United States.
Admins can export a workspace's data as one file in Settings at any time, and leads can be exported as a CSV file. The workspace owner can delete a self-service workspace in Settings once its paid plan is cancelled and nothing is owed: sending stops at once, members lose access, and its Customer Data is erased 30 days later (until then, we can restore it if you ask). When this agreement ends or NorthQuest closes a workspace, its Customer Data is likewise erased 30 days later, so export what you need first. You can delete your own account in Settings once you no longer own a workspace; it is erased at once.
Erased data may remain in backups for up to 30 more days. We keep only billing records, the audit trail of account and workspace actions, the sign-in security log, records of who authorized sending from a mailbox, and suppression lists (people who unsubscribed or bounced, kept so they are never emailed again), and data we must keep by law.
9. Connected services
When you connect Google, Microsoft, an SMTP/IMAP mailbox, Stripe, Cal.com, Calendly or a CRM (HubSpot, Pipedrive or Salesforce), you authorize NorthQuest to access that service on your behalf only as needed for the features you use, such as sending email, reading replies and bounces, recording booked meetings or handing over opportunities. Those services are not run by NorthQuest, their own terms apply, and NorthQuest is not responsible for their availability or actions. You can disconnect them at any time.
10. Deliverability and results
Email providers decide what reaches the inbox. NorthQuest does not guarantee delivery, inbox placement, replies, meetings or revenue. Sending limits and bounce brakes help protect your domains and other customers, but cannot guarantee any domain's reputation.
11. Suspension
We may pause sending, pause campaigns or mailboxes, or suspend an account or workspace if we reasonably believe it breaks these Terms or the Acceptable Use Policy, endangers the Service or other customers' deliverability (for example through high bounce rates or spam complaints), is used fraudulently, exposes NorthQuest or others to legal liability, or if payment has failed as described in section 3. We will tell you first where that is reasonable, but we may act at once to stop harm. We restore access once the issue is resolved. The automatic sending limits are described in the Acceptable Use Policy.
12. Ending the agreement
You can stop using the Service and cancel at any time. We may end these Terms with 30 days' notice, or immediately for a serious breach (including a serious or repeated breach of the Acceptable Use Policy) or non-payment. When the agreement ends, your access ends and Customer Data is erased as described in section 8. Sections that by their nature should continue (payment owed, your promises in sections 6 and 7, data deletion, disclaimers, liability limits, indemnity, governing law) survive.
13. NorthQuest's property
The Service, its software, design and brand belong to NorthQuest. You may not copy, resell, reverse engineer or misuse it, or use it to build a competing product. Feedback you send may be used to improve the Service without obligation.
14. Confidentiality and security
Each party keeps the other's non-public information confidential and uses it only for this agreement. NorthQuest protects Customer Data with reasonable technical and organizational measures, including encryption in transit, encrypted storage of mailbox credentials, workspace isolation and two-factor authentication.
If NorthQuest becomes aware of a security incident that leads to unauthorized access to, or loss or disclosure of, your Customer Data, we will tell you without undue delay and share what we know, as described in the Data Processing Agreement. No system is perfectly secure, and you are responsible for the security of your own accounts, devices and connected mailboxes.
15. Disclaimer of warranties
EXCEPT AS THESE TERMS EXPRESSLY STATE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, NORTHQUEST DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT EMAILS WILL BE DELIVERED.
16. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, EVEN IF TOLD THEY WERE POSSIBLE; AND (B) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID NORTHQUEST IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
These limits do not apply to your payment obligations, your obligations under section 17, or liability that cannot be limited by law.
17. Your indemnity
You will defend NorthQuest and its owners, staff and contractors against any third-party claim, investigation or demand (including by a regulator or email provider) arising from the emails you send, your Customer Data or how you obtained it, or your breach of these Terms, the Acceptable Use Policy or any law (including anti-spam and data protection laws), and you will pay the resulting damages, fines, settlements and reasonable legal costs. NorthQuest will tell you promptly about the claim, let you control the defense (you may not settle in a way that admits fault for NorthQuest or binds it without its consent) and give reasonable help at your cost.
18. Changes to these Terms
We may update these Terms. We will tell workspace owners about material changes by email or in the app at least 30 days before they take effect, unless a change is required sooner by law. If you don't agree, you can cancel before then; continuing to use the Service after that means you accept the updated Terms. The date at the top shows when these Terms last changed.
19. Law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service is decided by the state or federal courts located in Wyoming, and each party agrees to their jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.
20. General
These Terms (with the documents they include) are the whole agreement about the Service and replace earlier discussions. If they conflict, the Data Processing Agreement wins on data protection, then these Terms, then the Acceptable Use Policy and the Privacy Policy. If any part is unenforceable, the rest stays in force. Not enforcing a right is not a waiver. You may not transfer this agreement without our written consent; we may transfer it to a successor of our business. Neither party is liable for delays caused by events beyond its reasonable control. The parties are independent contractors.
We send notices to the email address of the workspace owner or in the app. Send legal notices to legal@northquest.io.
